Özet
Türk Ticaret Kanunu ve Sermaye Piyasası Kanunu uyarınca anonim şirketlerin yönetim kurulu üyelerinin ücretleri esas sözleşme hükmü veya genel kurul kararı ile belirlenmektedir. Bu kapsamda halka açık anonim ortaklıklarda yönetim kurulu üyelerinin ücretleri belirlenirken şirketin ücret komitesine danışılması zorunludur. Türk hukukunda yönetim kurulu üyelerinin ücretlerinin belirlenmesinde hissedarların söz sahibi olduğunu söylemek mümkün olsa da bu durum gelişmiş birçok ülkede yer alan Say on Pay uygulamasının Türkiye'de benimsendiği anlamına gelmemektedir. Zira Say on Pay uygulaması özü itibarıyla hem şirket yöneticilerin ücretlerinin hem de şirketlerin ücretlendirme politikasının hissedarların bağlayıcı veya güçlü tavsiye niteliğindeki oyları sayesinde sürekli bir şekilde denetlenmesini temin eden bir uygulamadır. Hissedarların yönetici ücreti üzerindeki oylama yetkisinin ücret belirlenmesinin yanında bu ücretin nasıl belirlendiği, ücretlendirme esaslarının neler olacağı, özellikle performans bazlı ödemelerde hakkaniyetin ve şirket menfaatlerinin nasıl dengeleneceği hususları önem taşımakta olup bu belirleme detaylı bir analiz ve değerlendirme gerektirmektedir. Bu sebeple çalışmamızda Amerika Birleşik Devletleri, Birleşik Krallık, Almanya, Avustralya, Belçika, Fransa, İsveç, Hollanda, Hindistan, Singapur ve Hong Kong gibi ülkelerin Say on Pay uygulamaları da incelenerek bu ülke sistemlerinin kendi ticaret uygulamalarında ne şekilde dönütler aldığı değerlendirilmiş ve olumlu sonuçlar veren sistemlerin Türk hukuk sistemine ne şekilde dâhil edilebileceği araştırılmıştır. Bu kapsamda çalışmamızda Türkiye'deki mevcut düzenlemeler incelenerek diğer ülkelerle farklılıkları noktasına özellikle değinilmiştir.

In accordance with the Turkish Commercial Code and the Capital Markets Law, in joint-stock companies, remuneration of the directors is set as provided in the articles of association or as decided by the general assembly. It is also mandatory to seek the opinion of the company's remuneration committee in determining the remuneration of directors in publicly held joint-stock companies. Even though it is possible to say that the shareholders have a voice in setting the remuneration of directors in Turkish law, this does not necessarily mean that the Say on Pay, a standard practice of corporate governance in many developed countries, is a policy that has been adopted in Turkey. In essence, Say on Pay is a corporate governance mechanism whereby the company's remuneration policy and the remuneration of executives are regularly audited by the shareholders through their binding or strong advisory votes. In addition to the shareholder's voting power over the remuneration in setting the amount of remuneration payable to executives, the key areas, such as how the remuneration will be determined, on what terms the remuneration will be paid, and how a balance will be struck between the company's best interests and fair and equitable compensation, particularly, in performance-based pay programs, deserve a more detailed discussion. Therefore, in this paper, the Say on Pay practices in countries such as the United States, the United Kingdom, Germany, Australia, Belgium, France, Sweden, the Netherlands, India, Singapore and Hong Kong were examined, and the feedbacks these country systems received from their own trade practices and possible ways to integrate the systems that yield positive results into the Turkish legal system were discussed. As such, in our study, we traced out the current regulatory policies in Turkey and identified and highlighted the differences with other countries' practices.
