Özet
Değişimin hızlı, rekabetin yoğun yaşandığı günümüzde dünya üzerindeki çoğu ülkede olduğu gibi ülkemizde de ekonomik yapının temel taşlarını KOBİ'ler oluşturmaktadır. Ülke ekonomilerinde büyük paya sahip olan, ülkemizde de tüm işletmelerin %99,8'ini oluşturan KOBİ'ler, istihdam yaratılmasına, yatırım yapılmasına, sermayenin tabana yayılmasına, girişimciliğin geliştirilmesine, bölgesel kalkınmaya, verimliliğe, rekabet ortamının yaratılmasına çok önemli katkılar sağlamaktadır. Bunun yanı sıra KOBİ'ler, refah düzeyinin artmasında ve sosyal düzenin gelişmesinde de önemli bir role sahiptir. KOBİ'lerin bu özellikleri ile ülke ekonomilerinin küresel krizlere rağmen ayakta kalmasında, büyüyebilmesinde ve kalkınmasında çok önemli katkıları bulunduğu bir gerçektir. Bu önemli özelliklerinin yanı sıra, KOBİ'lerin yaşadıkları ve çözmeleri gereken birtakım yönetsel ve finansal sorunları da bulunmaktadır. KOBİ'lerin öncelikli sorunu öz kaynak yetersizliği ve kredi teminindeki güçlüklerden kaynaklanan uzun vadeli finansman sorunudur. Mevcut finansman yöntemlerinin bu sorunun çözümünde yetersiz kaldığı görülmektedir. KOBİ'lerin faaliyetlerini sürdürebilmesi, genişletebilmesi ve yatırımlarını gerçekleştirebilmesi ancak güçlü sermaye yapısı ile mümkün olabilmektedir. Bu bağlamda KOBİ'lerin finansman kaynaklarına erişim olanaklarının kolaylaştırılması ve iyileştirilmesi; girişimciliğin geliştirilmesi, rekabet gücünün ve yenilikçiliğin artması, ekonomik gelişmenin sağlanması için gereklidir. Dolayısıyla KOBİ'lerin büyümek, faaliyetlerini geliştirmek ve genişletmek için öz kaynaklarının yanı sıra ek finansman kaynaklarına ihtiyacı bulunmaktadır. KOBİ'lere hitap eden bir menkul kıymet borsasının oluşturulması bu sorunun çözümüne katkı sağlayabilir. Nitekim dünyadaki örneklerine paralel olarak Türkiye'de 2011 yılında faaliyete başlayan Borsa İstanbul Gelişen İşletmeler Piyasası (GİP) bu amaca yönelik oluşturulmuş bir KOBİ borsası uygulamasıdır. Bu çalışmada KOBİ'lerin finansman sorunu, bu sorunu aşmada kullandıkları kaynaklar ve alternatif finansman yöntemleri ile alternatif finansman yöntemleri arasında yer alan sermaye piyasalarında halka açılmalarının incelenmesi amaçlanmış, bu kapsamda halka açılmalarının sağlayacağı faydalara yer verilmiş, Türkiye'deki KOBİ borsası uygulaması, dünya örnekleriyle ele alınıp incelenmiş ve KOBİ'ler açısından çeşitli yönleriyle değerlendirilmiştir.

Nowadays with the fast changes and intense competition, like most countries of the world, the SMEs (Small and Medium-Sized Enterprises) are the key-stones of the economic structure also in our country. The SMEs which have the largest share of countries' economies and that have the 99,8% of all the enterprises in our country are providing very important contributions for employment creation, investment, spreading the capital on the base, development of the entrepreneurship, regional development, productivity and to create the competitive environment. Additionally, the SMEs are also have an important role in increasing the prosperity level and improving the social system. It is a fact that SMEs are making important contributions with their existing characteristics to stand the country economies despite the global crisis and also to their growth and development. Beside these important features, SMEs are also have various administrative and financial problems that they have to solve. Primary problem of SMEs is the lack of equity and long term financing problem emanated from the difficulties of credit supply. It is seen that the existing financing methods are inadequate to solve this problem. It is only possible for SMEs to continue their activities, develop and realizing their investments with a strong capital structure. In this context it is necessary for SMEs to ease accessing to the financing resources; to develop the entrepreneurship, to increase the competition power and innovation, and to provide the economic development. Therefore the SMEs have additional financing resources beside their own equities for growing, extending and improving their activities. To establish a stock-exchange especially designed for SMEs can make contributions to the solution of this problem. As a matter of fact Stock Exchange Istanbul Emerging Companies Market (Borsa İstanbul Gelişen İşletmeler Piyasası = GİP) which is established and started to its activities in the year 2011 in Turkey parallel to the similar examples of the world, is a purposefully established SME stock-exchange application. In this study, it is aimed to investigate the financing problem of SMEs, the resources that they use to overcome this problem, alternative financing methods and going public in capital markets as an alternative financing method, and in this context it is explained the benefits of going public, SME stock-exchange application in Turkey is investigated together with the samples existing in the world and evaluated with the various aspects in the respect of SMEs.
