Özet
Bu doktora tezi, 6102 sayılı Türk Ticaret Kanunu'nun yönetim yetkisinin devrini öngören 367/1, temsil yetkisinin devrine ilişkin 370/2 ve yetki devrinin sorumluluğa etkisini düzenleyen 553/2 hükümlerini konu almaktadır. Tez;“anonim ortaklığın yönetimine ve temsiline ilişkin genel bilgiler”,“yönetim yetkisinin devri”,“temsil yetkisinin devri”ve“yetki devrinin hukuki sorumluluğa etkisi”olmak üzere dört bölümden oluşmaktadır. Çalışmanın birinci bölümünde anonim ortaklığın yönetim ve temsiline ilişkin genel bilgiler verildikten sonra ikinci ve üçüncü bölümlerinde yönetim ve temsil yetkisinin devri her yönüyle açıklanmaya çalışılmıştır. Bu minvalde devredilecek yönetim ve temsil yetkinin kapsamı, yetkinin devredilebileceği kişiler, yetki devrinin şekli ve maddi koşulları, devredilen yetkilerin kullanılması, tekrar devri ve sona ermesi hususları tüm detaylarıyla ele alınmıştır. Nihayet çalışmanın son bölümünde ise, yetki devrinin yönetim kurulu üyelerinin hukuki sorumluluğuna etkisi irdelenmiştir.
Özet (Çeviri)
This doctoral thesis deals with the provisions of the Turkish Commercial Code No. 6102, article 367/1 which stipulates the transfer of management, article 370/2 which explains the transfer of representative authority, and article 553/2 which regulates the effect of delegation on responsibility. This thesis consists of the following four sections:“general information on the management and representation of joint stock companies”,“transfer of management”,“transfer of representation”and“effect of transfer on the legal responsibility of the members of the board of directors”. The first part of the thesis involves general information about the management and representation about joint stock company, then the second and third parts elucidates the transfer of management and representation in a comprehensive manner. In this respect, the thesis discusses the scope of the management and representation to be transferred, the persons to whom the management and representation can be transferred, the form and material conditions of the transfer of management and representation, the use of the delegated management and representation, re-transfer of management and representation and termination delegated management and representation in detail. Finally, the last part of the thesis examines the effect of the management and representation on the legal responsibility of the members of the board of directors.
