Özet
209 ÖZET Ortak girişim ve ortak girişime uygulanacak hukuk konusunu incelediğimiz tezimizde öncelikle bir sözleşmeler grubu olarak ortaya çıkan ortak girişimin hukukî niteliği belirlenmiştir. Bu grubun merkezinde ortak girişimi kuran ve tarafların haklarıyla borçlarını düzenleyen temel sözleşme bulunmaktadır. Hukukumuza göre bu sözleşme adi şirket sözleşmesi niteliğindedir. Bunun etrafında ortak girişimin amaçlarına ulaşmasını sağlayan ve satelit sözleşmeler adı verilen sözleşmeler bulunur. Hizmet sözleşmesi, lisans sözleşmesi, şirket sözleşmesi, inşaat sözleşmesi gibi sözleşmeler bu grupta yer alabilir. Ortak girişim sözleşmesine uygulanacak hukuk belirlenirken bunun bir sözleşmeler grubu oluşturduğu gözden kaçırılmamalıdır. Bu sözleşmeler arasında amaç bakımından birlik bulunsa da, aslında bunlar ayrı sözleşmelerdir. Bu nedenle her birine uygulanacak hukukun ayrı ayrı tespiti gerekir. Bunun için de MÖHUK m.24'ten yararlanılır.

210 ABSTRACT In our thesis, joint venture and the conflict of laws are examined. First we try to set forth the feature of the joint venture agreement. A joint venture is composed of some agreements. Actually, it is a group of agreements. In the centre of the group, there is the shareholders' agreement (accord de base). It is the agreement that establishes the joint venture and includes provisions that show the debts and rights of the parties. According to Turkish law, the shareholders' agreement in joint ventures is a partnership act. Around it, some agreements, which are called the satellite agreements can be seen. The purpose of contracting these agreements is to achieve the objectives of joint venture. Labour contracts, licence agreements, shareholders' agreement, which establishes an incorporated firm, construction agreements, can be of the satellite agreements around the shareholders' agreement in the centre. While determining the proper law in joint ventures, one should bear in mind that this a group of agreements although the aim of these agreements is common in a broader sense, these agreements are individual agreements so the proper law should be determined for each agreement separately. MÖHUK art.24 is the main provision in this prosses.
