Özet
Technological developments have dragged every part of the society into a continuous process of alteration. In this context, especially in commercial life, different business models from traditional methods have developed, company structures and commercial concerns have differentiated, and new demands and needs have emerged in this direction. To meet these demands and requirements, the European Union (EU) has started a digital revolution process. It aims to bring the EU to a new economic level by developing genuine regulations and policies regarding the digital single market, which is the digital dimension of the European single market. Within this framework, many regulations have been introduced and various policies have been developed in order to strengthen and improve the digital single market, and ultimately, this whole process has increased the trust and demand of consumers in the digital environment and electronic commerce. Despite all these developments, it is observed that the EU lags behind“competitor”countries such as the United States and People's Republic of China when the European single market is examined, especially from the perspective of the digital small and medium-sized enterprises (digital SME's) and start-up companies, which form the basis of the single market. Although it is argued that this situation arises from different logic, the subject of this study determines that the main obstacle is the problem of digital SME's access to finance and points out that the business red tape should be loosened by providing alternative financing tools in order to disentangle this issue. Because of this deficiency, the excess demand for the consumers, which emerged as a result of the EU's digitalization policies, is met by foreign-based enterprises instead of EU national enterprises. Therefore, major employment and investment opportunities, competitive and innovative elements produced within this framework migrate out of the EU to these competitor countries. In the study, it has also been concluded that company law instruments should be used by adapting them to the digital environment as a basic tool for the issues of access to finance and loosening the business red tape. In this way, Europe will both start to move towards a bright digital horizon and will facilitate the integration process before the member states with the adaptation to be made in company law and will eliminate the legal uncertainties throughout the digital EU.
