Özet
Kurumsal yönetim yaklaşımda yönetim kurulu, sadece hakim hissedar menfaatine değil, küçük hissedarlar ve diğer yatırımcılar arasındaki ilişkilere de odaklanmaktadır. Adillik, şeffaflık, hesap verebilirlik ve sorumluluk, kurumsal yönetimin temel kilit unsurlarıdır. Daha iyi kurumsal yönetim, yanlış yönetimi önler ve şirketi verimli çalışmaya motive eder. Böylece sermaye maliyetini ve riski azaltmaya, paydaşların çıkarlarını korumaya yardımcı olur. Şirketi daha hesap verebilir ve şeffaf hale getirir. Kurumsal yönetimin tam anlamıyla uygulanması, yetkin, etkin ve dinamik bir yönetim kurulu yapısı ile mümkün hale gelir. Bu bağlamda bu tez, yönetim kurulu yapısının finansal performans üzerindeki etkisini kurumsal yönetim perspektifinden belirlemeyi amaçlamaktadır. Araştırmanın evrenini gelişmekte olan piyasalarda yer alan ve hisse senetleri borsalarda işlem gören şirketler oluşturmaktadır. Araştırmanın örneklemi olarak Pakistan Borsası'ndaki tekstil şirketleri seçilmiştir. Bağımlı değişkenler olarak finansal performansı temsil eden ROA, kaldıraç ve likidite, bağımsız değişkenler olarak ise kurumsal yönetim bağlamında yönetim kurulu yapısını temsil eden değişkenler belirlenmiştir. Modellere çeşitli kontrol değişkenleri de eklenmiş olup, toplam 18 lineer regresyon modeli oluşturulmuştur. Araştırmada yönetim kurulu boyutunun karlılık ve kaldıraç üzerinde anlamlı bir etkisinin olmadığı tespit edilmiştir. Öte yandan, yönetim kurulu büyüklüğündeki artışın cari oranı olumlu etkilediği belirlenmiştir. Yönetim kurullarında bağımsız üyelerin, icracı olmayan üyelerin ve kadın üyelerin bulunması, tüm dünyada kurumsal yönetim ile ilişkilendirilen konudur. Bu tezde bunlar da araştırılmıştır. Sadece bir modelde bağımsız üyelerin oranının artmasının finansal performans üzerinde olumlu etkisi olduğu tespit edilmiştir. Diğer modellerde ise anlamlı ve pozitif bulgular elde edilmemiştir. İcracı olmayan üyeler ve kadın üyelerin oranı ile ilgili ise kurulan modellerin tamamında ise, istatistiksel olarak anlamlı olmayan bulgulara ulaşılmıştır.

In the corporate governance approach, the board of directors focuses not only on the interests of the controlling shareholders, but also on the relations between the small shareholders and other investors. Fairness, transparency, accountability and responsibility are key elements of corporate governance. Better corporate governance prevents mismanagement and motivates the company to work efficiently. Thus, it helps to reduce the cost of capital and risk, and protect the interests of the stakeholders. It makes the company more accountable and transparent. The full implementation of corporate governance becomes possible with a competent, effective and dynamic board of directors. In this context, this thesis aims to determine the effect of the structure of the board of directors on financial performance from a corporate governance perspective. The universe of the research consists of companies in emerging markets and whose stocks are traded on stock exchanges. Textile companies in the Pakistan Stock Exchange were chosen as the sample of the research. ROA, leverage and liquidity representing financial performance were determined as dependent variables, and variables representing the structure of the board of directors in the context of corporate governance were determined as independent variables. Various control variables were added to the models, and a total of 18 linear regression models were created. In the research, it was found that the board size has no significant effect on profitability and leverage. On the other hand, it was determined that the increase in board size has a positive effect on the current ratio. The presence of independent members, non-executive members and female members in the boards of directors is an issue associated with corporate governance all over the world. These are also investigated in this thesis. In only one model, it was determined that the increase in the ratio of independent members had a positive effect on financial performance. In other models, significant and positive results were not obtained. Regarding the ratio of non-executive members and female members, statistically insignificant findings were obtained in all of the established models.
