Özet
Anonim şirketler, payların serbestçe devredilebildiği, pay sahiplerinin kişiliklerinden bağımsız olarak yalnızca getirilen sermayenin ön plana çıktığı şirketlerdir. Bununla birlikte, payların serbestçe devredilebilmesi, özellikle payları borsaya kote olmayan şirketlerde bazı sakıncalar doğurabilir. Böyle bir durumda esas sözleşmeye konulacak bir bağlam hükmü ile nama yazılı payların devrinin kısıtlanması, kontrol altına alınması sağlanabilir. Payları borsaya kote olan şirketlerde ise devrin sınırlandırması işlem güvenilirliği açısından çok sınırlıdır. Bunun nedeni, payın ekonomik değerinin ve anonim şirket yapısının korunarak bir denge sağlanmak istenmesidir. Çalışmamızda 6102 sayılı TTK ve 6362 sayılı SerPK ve sair mevzuat ışığında pay kavramı, pay senetleri, payların devri ve paylarının devrinin hangi şart ve yöntemler çerçevesinde esas sözleşmeye konulacak bağlam hükümleri ile kısıtlanabileceği, devir sonunda paylardan doğan hakların geçişi, bu hakların kullanılmasının şartları ve pay defteri incelenmiştir.

Joint Stock Companies are companies in which shares can be transferred freely, only the brought capital stands out independently from the personalities of the shareholders. However, the fact that shares can be transferred freely can cause some drawbacks, especially in companies whose shares are unlisted in the stock market. In such case, the transfer of the registered shares can be limited and taken under control with a context provision to be written in the articles of association. As for the companies whose shares are listed in the stock market, the limitation of the transfer is very restricted with regards to transaction safety. The reason for this is to desire for providing a balance by protecting the economic value of the share and the joint stock company structure. In our study, the concept of share, share registers, share transfer and within the frame of which conditions and methods that share transfers can be limited with context provisions to be written in the articles of association, the transfer of the rights resulting from the shares at the end of the transfer, the conditions of using those rights and stock ledger are examined in the light of 6102 numbered TCC and 6362 numbered CML and various legislations. Also, the problems faced during implementation and the controversial topics in the doctrine are included in our study.
