Turkey adopted financial assistance prohibition for the first time in 2012 under Article 380 of the TCC on the base of EU Second Directive 77/91/EEC despite the fact that it was proven to be a very contentious issue and most of the jurisdictions have displaced a preference of removing it given its impact on LBOs. In this light, this dissertation questions whether this prohibition was in fact required to be adopted into Turkish law in the first place. EU Second Directive was amended in 2006 and the prohibition was softened for public companies by bringing ex-ante system so long as the conditions set forth in the Article have been met. However, Turkey adopted the previous regulation which was prohibiting all public companies from giving financial assistance to the third parties. This was deemed as ex-post outright prohibition for public companies as will be explained below. As Turkey did not adopt the ex-ante regime, all joint stock companies are prohibited from giving financial assistance under Article 380 of the TCC. Therefore, this dissertation assesses whether the ex-post system was appropriate and sensible in which all joint-stock companies, either publicly held or not, were prohibited to give financial assistance instead of the ex-ante system. Transcending the above questions, at any event, this dissertation considers whether the transfer into Turkish law is likely to create problems of interpretation in light of the Article 23 of the Second Directive as a source law that Turkey based.
