Özet
Yönetim kurulu üyeliğinin şirket içerisinde önemli bir yeri olup, üyeye birtakım hak ve yetkilerin yanında sorumluluklar da yüklemektedir. Yönetim kurulu üyelerinin üstlendiği bu görevin, özenle yerine getirilecek olması ve şirket açısından hayati önem taşıması dolayısıyla, üyelik için birtakım şartlar öngörülmüştür. 6102 sayılı TTK ile birlikte, AB(Avrupa Birliği) şirketler hukuku ile uyum sağlamak, çağdaş gelişmeler, teoriler, içtihat birikimi, doktrinsel görüşler dikkate alınarak profesyonel ve etkin bir yönetim kurulu oluşturmak amaçlanmıştır. Bununla birlikte, yönetim kurulu üyeliğinde de birtakım değişiklikler olmuştur. Tezimizin ilk bölümünde, anonim şirketler ve yönetim kurulu üyeliğine ilişkin genel bilgiler, yönetim kurulu üyeliğinin hukuki niteliği ve tüzel kişi yönetim kurulu üyeliği hakkında bilgilere yer verilmiştir. Bu kapsamda anonim şirketin tanımı, unsurları, organları, yönetim kurulu üyeliğinin süresi ve organ yapısı incelenmiştir. Tezimizin ikinci bölümünde, anonim şirketlerde yönetim kurulu üyelik sıfatının kazanılma şartları, 6102 sayılı TTK ile bu şartlarda meydana gelen değişiklikler dikkate alınarak incelenmiş, yine tüzel kişinin yönetim kurulu üyeliğine imkan verilmesi ile konu karşılaştırmalı olarak ele alınmıştır. Bu bölümde ayrıca, kanunda ve esas sözleşmede öngörülen şartların yanında, yönetim kurulu üyelerinin seçim ve atama usulüne, bunları seçmeye yetkili organlara, belirli grupların seçim ve aday önerme yetkisine yer verilmiştir. Üçüncü ve son bölümde, anonim şirketlerde üyelik sıfatının kaybedilmesi, vekalet sözleşmesinin yapısı ve sona ermesi dikkate alınarak incelenmiştir. Ayrıca, azil ve istifanın sonuçları, tazminat durumu, yönetim organizasyonu olarak yönetim kurulu başkanının seçimi ve görevinin sona erme sebepleri, özel kanunlarda öngörülen üyeliğin sona erme sebepleri ve tüzel kişiliğe özgü sona erme sebepleri ele alınmıştır.

Membership of the board of directors has an important place in a company and it brings the member some responsibilities as well as rights and powers. Certain conditions are stipulated for the membership because of the fact that the duty undertaken by the members of the board of directors will be meticulously fulfilled and is of vital importance for the company. With the Turkish Commercial Code numbered 6102; it is aimed to comply with EU (European Union) corperation law, establish a professional and effective board by taking the contemporary developments, theories, jurisprudence and doctrinal views into consideration. Besides, there have been some changes in board of directors membership as well. In the first part of our thesis, general information about joint stock companies and board membership, legal qualification of board membership and information about board membership of legal person are given. In this context; the definition, elements, organs, duration of board membership and organ structure of the joint stock company were studied. In the second part of our thesis; the conditions of assuming the title of board member in joint stock companies are studied by considering the amendments in these conditions by the Turkish Commercial Code numbered 6102. Also, by allowing to become a member of the board of directors, the matter is discussed comparatively. Besides the conditions stipulated by code and articles of incorporation, this section includes the procedure for the election and appointment of the members of the board of directors, the bodies authorized to elect them and the authority of certain groups to propose elections and present candidates. In the third and last section, the loss of membership in joint stock companies is studied considering the structure of deputation agreement and its termination. In addition, the results of the dismissal and resignation, compensation status, the election of the chairman of the board of directors as the management organization and the reasons to unseat them, the reasons for the termination of the membership stipulated in the special law and the reasons for the termination of the legal entity are studied.
