Özet
Ülkemizdeki kurumsal yönetim yapısının incelenerek bu yapı/yapılar çerçevesinde uygulamak ve geliştirilmek üzere SPK tarafından Kurumsal Yönetim İlkeleri oluşturulmuştur. Bu ilkeler şirketlerin, kurumsal yönetimi ana bölümleri itibariyle düzenli ve kolay uygulayabilmesine olanak tanımıştır. Ülkemize ABD ve İngiltere'den esinlenerek gelen kurumsal yönetim ilkelerinin borsalar tarafından uygulanması, şirketlerin bu ilkeler ile hareket etmesine neden olmuştur. Borsa İstanbul Kurumsal Yönetim Endeksi'nin değerlendirilmesinin yapılarak bu endeksin BİST içerisindeki yerinin saptanması bu çalışmanın temel araştırma konularından birisidir. Aynı zamanda Borsa İstanbul Kurumsal Yönetim Endeksi'ndeki şirketlerin bu endekse dâhil olma süreçleri ve çeşitli ulusal ve uluslararası kuruluşlar tarafından değerlendirilmesi, gelişmiş ülkelerden ABD ve İngiltere'nin kurumsal yönetim çerçevelerinin incelenmesi, bu ülkelerin endekse dâhil ettikleri şirketler hakkında bilgi edinilmesi ve son olarak ülkemizdeki kurumsal yönetim endeksinin ABD ve İngiltere endeksleriyle karşılaştırılması bu çalışmanın amaç ve kapsamını oluşturmaktadır.

The Corporate Governance Principles have been established by the Capital Markets Board (CMB) in order to examine and apply the corporate governance structure within the framework of these structures. These principles enable companies to implement corporate governance regularly and easily in the main sections. The implementation of the concept of corporate governance, inspired by the US and the UK, by the stock markets in my country has led companies to act with this concept. The evaluation of the Stock Exchange Istanbul Corporate Governance Index and the determination of the location of this index in the BİST is one of the main research topics of this study. At the same time, the companies in the Borsa Istanbul Corporate Governance Index are evaluated by this index inclusion process and various national and international organizations, examining the corporate governance frameworks of the USA and UK from developed countries, obtaining information about the companies they have included in indices and finally, the comparison of the management index with the US and UK indices constitutes the purpose and scope of this study.
