Özet
ÖZET Türkiye Esnaf ve Sanatkarlar Kredi ve Kefalet Kooperatifleri, Birlikleri, Merkez Birliğinde ortaklık, organlar ile iç ve dış denetimin hukuki düzenlenmesi ve uygulaması 1163 Sayılı Kooperatifler Kanunu ve Yargıtay kararlan ile anasözleşmeleri çerçevesin de incelenmiştir. Beş bölümden meydana gelen bu çalışmamızda sorunlar belirlenmiş, çözüm önerileri getirilmiştir. İnceleme sonucunda, 1 163 Sayılı Kooperatifler Kanunu'nda ortaklık, organlar ve denetimleri ile ilgili yeterli düzenleme bulunmamakla beraber, anasözleşmelerinde bu açığın giderilmeye çalışıldığı görülmektedir. Kooperatifler Kanunu'nun yetersiz kalması sonucu bazı hususlarda anasözleşme ile düzenleme yapılırken getirilen a. sözleşme hükümlerinin, 1163 Sayılı Kooperatifler Kanunu ve anasözleşmelerinin diğer hükümlerine aykırı olduğu görülmektedir. Bu konularla ilgili Yargıtay kararlan da kanunu yorumlayıcı ve yol gösterici özelliktedir. Kooperatifler Kanunu'nun yetersiz kaldığı hususlardaki hukuki boşluğu gidermek için, öncelikle bu kanunda yapılması gereken değişiklikler önerilmiştir. Kooperatifler Kanunu'nda değişiklik yapılması kesin çözüm değildir. Ülkemizde ki bütün kooperatifleri kapsayan temel bir kanun ve faaliyet konularına göre gruplandırılan kooperatiflerin her bir grubu için özel kanunları çıkartılmalıdır. Bu arada Esnaf ve Sanatkarlar Kredi ve Kefalet Kooperatifleri için de bağımsız, özel bir kanun çıkartılmalıdır. Böylece mevcut hukuki sorunlar ve bunlara bağlı olarak uygulamada karşılaşılan sorunlar için de kesin bir çözüm getirilmiş olacaktır.

ABSTRACT Turkish Credit and bail Cooperatives and Unions for Craftsmen and Traders, partnership at the Central Union. Structural bodies and Internal and External Legal arrangements and their implementation have been examined within the frame work of the law of cooperatives No. 1 1 63, Resolutions of Supreme Court and the main-contracts. In this study consisting of five parts, the problems have been specified and suggestions have been made for their solu tion. At the end of the examination, it is seen that a vigorous attempt has been given to fill this gap in the content of main-contracts despite the fact that there have not been arrangements appropriate enough in respect of the partnership, bodies and their supervision. As a result of inadequancy of the laws related to the cooperatives, some outbrought issues of the main contract are noticed to act contrary with other issues of main-contracts and the law of cooperatives, no. 1 163 while the arrangements on some issues of the main contract are carried out. Resolutions issued about these matters sy Supreme Court, have also an originality of interpretation and guidance. In this study some necassery changes are suggested in order to fill legal gaps on issues which the law of cooperatives is inadequate. However, making changes in the law of cooperatives is not a definite solution. Besides a basic law covering all cooperatives throughout ourcountry, a specific law should also be formu lated for each group of cooperatives which is formed according to the activity areas. In addition to these, a specific, special and separate law should be made for the Credit and bail Cooperatives for Craftsmen and Traders. In this way, a definite solution can be found for the present legal problems and the related questions which arise during the implementation process.
