Mergers are big part of Turkey's economy and corporate sector. Given the statistics most of the mergers, which were subject to Turkish Competition Authority's assessment, were between parties that consist of partly or all foreign companies. This makes the merger control an important subject that Turkey should aspire to EU's standards and develop a more efficient approach on competition law to adapt the evolved commercial and industrial aspects of market. It is no longer possible to detect the effect of a merger on a market or on consumers without deeply evaluating the efficiencies it will or can create. The purpose of this dissertation is to identify how efficiency defence is assessed within the Turkish Merger Control and identify the benefits and flaws of the Turkish Practice to propose improvements in law making and practice. To achieve its purpose it uses the EU law and practice as a reference point, while also trying to adapt the economical theories into the law. With this objective, the dissertation starts with an introductory chapter that discusses economic efficiency types and their effects on welfare, as well as the welfare standard choices. Moving on to the Turkish practice, the consumer welfare standard and efficiency arguments in Turkish Merger Control are assessed. The substantive test of Turkish Merger Control as the dominant position test and the handicaps it brings for the assessment of the efficiencies are put forward. The dissertation ends by seeking a better approach on the practice of Merger Control to utilize the efficiency defence, yet identifying that not only the substantive test but also act-by-rote assessment on welfare, consumers, price outcomes, dominance and efficiency types is the reason why the efficiency defence remains a controversial part of Turkish Merger Control.
