Özet
Bu çalışmanın amacı, 6102 sayılı Türk Ticaret Kanunu m. 376/3 ile hukukumuzda tanınan“garameye iştirakten feragat sözleşmesi”müessesesini tüm yönleriyle incelemektir. Bu bağlamda sermaye şirketlerinde borca batıklık kavramı ve borca batıklık bilançosu ele alınmıştır. Sözleşmenin, borca batıklığı gidermek amacıyla kurulabilmesinin yanında iflasın ertelenmesi sürecinde iyileştirmeye katkı yapması amacıyla kurulabilmesi hali de incelenmiştir. Öte yandan sözleşmenin mali durumu bozulan şirkete sermaye benzeri kaynak temin edebilmek üzere, şirketin mevcut alacaklıları dışındaki diğer kişilerle de kurulabilmesinin mümkün olduğu da belirtilmiş ve bu ihtimal de ele alınmıştır. TTK m. 376/3 hükmü gereği kurulacak sözleşmenin bilançoda nasıl gösterileceği konusu da örnek bilanço ve verilerle desteklenerek açıklanmıştır.

The purpose of this study is to examine in detail (“agreements on waiver of pro rata collection of debts”) prescribed by Article 376/3 of the Turkish Commercial Code No. 6102. In this connection, the concept of“over-indebtedness”is explored, and the relevant“balance sheet”is explained. The agreement on waiver of collection of debt to the effect that the indebted company's creditors will be ranked after all other creditors can both eliminate the company's over-indebtedness and improve its financial situation in the process for the postponement of bankruptcy. In addition, it is also stipulated that this agreement can be entered into with persons other than the financially weak companies' creditors, so as to provide these with secondary subordinated credit. This dissertation, therefore, examines the terms and consequences of all these alternatives, and clarifies how the waiver agreement to be entered into as per Article 376/3 of the Turkish Commercial Code must be presented in the company's balance sheet through sample balance sheets and relevant data.
