ÖZET Ünlü, Özen Özden, Avrupa Birliği'nde Finansal Konsolidasyon ve Türk Bankacılık Sektörü, Yüksek Lisans Tezi, Danışman: Prf. Dr. Nahit Töre, 139s. Son yirmi yılda başta finans sektörü olmak üzere, dünyada yoğun bir konsolidasyon yaşanmaktadır. Finansal hizmet sunucuları arasındaki konsolidasyonlar, ABD'de büyük bir hızla devam ederken, Avrupa Birliği'nde (AB) yaşanan Parasal Birlik nedeniyle hızlanmış, Asya'da ve diğer bölgelerdeki finansal bozulmaya ilişkin sorunların bir çözümü olarak düşünülmüştür. Sözkonusu gelişmeler sonucunda konsolidasyonun daha global bir boyut kazanması beklenmektedir. Bu tezde, konsolidasyon şekillerinden birleşme ve devralmalar (mergers & acquisitions) başta olmak üzere ortak girişim (joint venture) ve stratejik ittifaklar (stratejik alliances) incelenmiş, başta AB olmak üzere dünyadaki konsolidasyon yöntemleri, nedenleri ve etkileri gibi konular tablolarla da desteklenerek açıklanmıştır. Tezin birinci bölümünde konsolidasyonun anlamı, yöntemleri, finans sektöründeki yeri, teşvik edici ve engelleyici nedenleri ile geleceğe dönük senaryoları ve etkileri tartışılmıştır. Tezin ikinci bölümünde AB'nde finansal konsolidasyon konusu ele alınmıştır. Özellikle son beş yılda AB bankacılık sektöründe yaşanan birleşme ve devralmalar ve finansal konglomeraların (gruplaşmaların) gelişimi zengin verilerle desteklenerek sergilenmektedir. Tezin üçüncü bölümünde Türk bankacılık sektörü incelenmiştir. Türk ekonomisi 24 Ocak 1980 kararları ile serbest piyasa ekonomisine geçerken, bankacılık sektörü de bu güne kadar sürecek bir deregülasyon (kuralların gevşetilmesi) sürecine girmiştir. Krizlerden çıkış ve Gümrük Birliği ile başlayıp ilerde tam üyelikle sonuçlanması umulan AB ile ilişkiler bağlamında, gelişmiş AB bankacılık piyasasında Türk bankalarının durumunu güçlendirmek için banka B/DA'ların rolü konusunda farklı görüşler vardır. Bazı görüşlere göre B/DA'lar, sorunu büyük banka ölçeğine taşımaktan başka işe yaramayacaklardır. Diğer bir görüşe göre ise Türk bankalarının sorunlarını aşmak için B/DA'lara gitmekten başka çaresi yoktur.

ABSTRACT Ünlü, Özen Özden, Financial Consolidation in The European Union and Turkish Banking Sector, Master's Thesis, Advisor: Prf. Dr. Nahi Töre, 139p. Consolidation has been a worldwide phenomenon during the last 20 years, financial sector being the leader. While consolidations in the financial services industry in the United States have been going on with a great speed, those in the European Union have gained acceleration with the Monetary Union (Euro) and they have been proposed as a solution to the problems arising financial deterioration in Asia and other part of the World. As a result of these developments, the worldwide application of consolidation is expected to widen. In this study, different forms of consolidation, mainly merger/acquisitions, joint ventures and strategic alliances were investigated. The causes, methods and implications of consolidations were explained with the support of various tables, giving special emphasis to the situation in the European Union. In the first part of the Thesis, the meaning of consolidation, its methods, its place in the financial sector, the encouraging/discouraging forces, its effects were discussed and the scenarios for future trends were displayed. In the second part, consolidations in the European Union, especially during the last 5 years, were treated. The consolidation experience in the EU banking sector, the developments in mergers and acquisitions, financial conglomeration were shown with the help of rich data. The Turkish banking sector was investigated in the third part. As the Turkish economy passed to the free market model with the Decisions of 24th January, the banking sector entered into a process of deregulation with is still on progress. There are different opinions about the role of mergers and acquisitions in strengthening the position of Turkish banks in the face of the developed banking market of the EU. In the context of the relations with the EU, started with the Customs Union and hoped to extend to the membership and coming over the crises, some authors claim that mergers and acquisitions will do nothing but carry the problem to a bigger bank scale. Others insist that the Turkish banks have no chance other than entering into mergers and acquisitions.
