Özet

Çalışma 6098 Sayılı Türk Borçlar Kanunu m. 205'te düzenlenen sözleşmenin devrini konu almaktadır. Buna göre sözleşmenin devri, bu işleme konu edinilen sözleşmenin taraflarından birinin taraf sıfatının bir başkasına devredilmesi konusunda üç taraflı olarak veya iki tarafın anlaşmasına sözleşmede kalanın rıza vermesiyle anlaşılan bir hukuki işlemdir. Böylece devreden sözleşmeden tamamen çıkarak sözleşme devirden itibaren devranla ile sözleşmede kalan arasında devam eder. Bir tasarruf işlemi olan sözleşmenin devri, mehaz İsviçre Hukuku ve Alman Hukuku'nda halen yasal düzenlemeye sahip olmamakla beraber günümüzde sözleşme özgürlüğü ilkesi gereği bir sözleşmedeki taraf sıfatının devredilebileceği tartışmasız şekilde kabul edilmektedir. Türk Hukukunda ise TBK m. 205 ile yasal düzenlemesine kavuşan kurumun, 818 Sayılı Borçlar Kanunu'nun yürürlükte olduğu önceki dönemde ise sözleşme özgürlüğü ilkesince mümkün olduğu kabul edilmekteydi. Roma Hukukunda alacak ve borçlar üzerinde tasarruf edilebilme fikrinin benimsenmesinden epey zaman sonra sözleşmenin bir bütün olarak devre uygunluğu tartışmaları ilk olarak Alman Hukuku'nda başlayıp gelişerek kısa bir süre içinde İsviçre Hukuku'nda da yankı bulmuştur. Bu tartışmalar sonucunda sözleşmenin devri, günümüz hukuk ihtiyaçlarına yanıt verecek boyutta gelişebilmiştir. Bu nedenle Alman ve İsviçre Hukukllarında sözleşmenin devrini doğrudan veya dolaylı şekilde ele alan birçok eser çalışmamıza yol göstermiştir. Borç ilişkisindeki bu taraf değişikliği her sözleşme bakımından mümkün olsa da uygulamada kendisine ihtiyaç duyulan ve etkilerinin üzerinde daha yoğun hissedildiği borç ilişkileri, sürekli borç ilişkileridir. İfanın bir süreye yayıldığı bu sözleşmelerde ifa kabiliyetinin kalmaması, sözleşmeden beklenen menfaatin değişmesi gibi sebeplerle taraflardan biri o borç ilişkisinden tamamen çıkmak isteyebilir. Ancak borç ilişkisinin devamındaki fayda, devredenin bu gerekçelerine ağır basabilir. Bu noktada sözleşmenin devrinin asıl sözleşmenin içeriğinde bir değişiklik yaratmıyor olması önemlidir. O nedenle borç ilişkisinin devamının gerektiği inşaat veya enerji tedariki sözleşmeleri gibi ilişkilerde taraflar daha meşakkatli bir yol olan sözleşmeyi sona erdirmek yerine bir başkasına devrederek onun devamını sağlamış olurlar. Görüldüğü üzere sözleşmenin devri, tarafları karmaşık tasfiye ilişkisi ve ekonomik yüklerinden kurtardığı gibi sözleşmenin ayakta tutulmasına da hizmet etmekte ve bu noktada önemli bir ihtiyacı karşılamaktadır. Çalışmamız üç bölümden oluşmaktadır. İlk bölümde sözleşmenin devrinin tanıtılması adına tarihsel süreci, benzer hukuki ilişkiler ile ayrımı ve hukuki niteliği üzerinde durulmuştur. İkinci bölümde devir sözleşmesi ile gerçekleşen sözleşmenin devri işleminin unsurları ele alınmış ve son bölümde ise bu taraf değişikliğinin asıl sözleşmeye ve taraflar arasındaki ilişkilere etkileri incelenmiştir. İlk bölümde öne çıkan hususlar, sözleşmenin devrinin hukuki niteliği ve benzer kavramlar ile farklılıklarının ortaya konulmasıdır. Buradan hareketle ilk olarak sözleşmenin devrinin tasarruf işlemi niteliği ortaya konulmuş ve konudaki farklı yaklaşımlar incelenmiştir. Bu değerlendirmelerde sözleşmenin devrinin üç taraflı sui generis sözleşme niteliği de dikkate alınmıştır. Buradan hareketle çalışmada sözleşmenin devrinin hukuki niteliğine ilişkin karşılaştırmalı hukuktaki değerlendirmelerden de yararlanılarak bu üç taraflılık niteliğine uygun olarak farklı bir yaklaşım (borçlandırıcı etkili tasarruf işlemi) ortaya konulmuştur. Birinci bölümde sözleşmenin devrinin hukuki sebebine ilişkin açıklamalara de yer verilmiştir. Sözleşmenin devrinin üç taraflı bir hukuki işlem olmasından ve her tarafın diğer iki taraf ile ilişkisi ve sözleşmenin devrinden beklediği menfaat birbirinden farklı olduğundan bu başlıkta hukuki sebep her taraf yönünden ayrı ayrı tespit edilmeye çalışılmıştır. Bunun sonucunda hangilerinde bir kazandırmanın bulunduğu ve sonrasında hangisinin sözleşmenin devrine bu niteliğini kazandırdığı tespit edilerek sonuca varılmıştır. Buna göre sözleşmenin devrine karakteristik niteliğini veren hukuki işlemin, devredenin taraf sıfatı üzerindeki tasarrufu ve devralan lehine kazandırması olduğu tespit edilmiş ve böylece sözleşmenin devrinin hukuki sebebinin de ifa sebebi olduğu sonucuna varılmıştır. Zira devreden, tasarruf işlemi niteliğindeki devir sözleşmesini akdederek devir taahhüdünü yerine getirmiş olur ve bu nedenle de borçlandırıcı işlem niteliğindeki devir taahhüdü devir sözleşmesinin hukuki sebebini oluşturur. Bu bölümün ikinci kısmında ise sözleşmenin devrinin benzer kurumlardan farkları üzerinde durulmuş ve karşılaştırılacak kurumlar alacağın devri, borcun üstlenilmesi ve yenileme ile sınırlı tutulmuştur. Bunun sebebi, sözleşmenin devrinin, borç ilişkisinde taraf değişikliği yaratan bir işlem olarak, alacağın devri ve borcun üstlenilmesi ile tarihsel gelişimi boyunca çok sıkı ilişkisinin olması; kavram kabul edilene kadar yenilemenin sözleşmede taraf değişikliği için başvurulan önemli bir yöntem olması ve günümzde kimi zaman devir sözleşmesinin yenileme ile karıştırılmasıdır. Buradan hareketle kısaca özetlemek gerekirse sözleşmenin devrinin ayrı bir kavram olarak benimsenmediği dönemde hali hazırda kabul gören alacağın devri ve borcun üstlenilmesi hükümlerinin uygulanmasının sözleşmenin devri için yeterli olacağı kabul edilmiş olsa da günümüzde sözleşmenin devrinin kendine özgü yeni bir kavram olduğu benimsenmiş ve alacağın devri ile borcun üstlenilmesi hükümlerinin ancak uygun düştüğü ölçüde sözleşmenin devri uyuşmazlığına uygulanabileceği sonucuna varılmıştır. Bunda da en önemli etken alacağın devri ve borcun üstlenilmesinin dar anlamda borç ilişkisine ilişkin, sözleşmenin devrinin ise geniş anlamda borç ilişkisine ilişkin olmasıdır. Bu o hükümlerin düzenlenirken, ağırlıklı olarak alacaklı veya borçlu yönünden ele alınmasını da gerektirir. Bu nedenle alacağın devri ve borcun üstlenilmesine ilişkin hükümlerin sözleşmenin devrine kıyasen uygulanması en uygunudur. TBK m. 133'te düzenlenen yenileme ise tarafların, yeni bir borç veya sözleşme yaratarak aralarındaki mevcut borç veya sözleşmeyi sona erdirmek üzerine anlaşmasıdır ve Roma Hukukunda uzun bir süre sözleşmede taraf değişikliği yaratmak için (sözleşmenin devri yerine) bir araç olarak kullanılmıştır. Bu yakın kullanımı ve uygulamada kimi zaman devir sözleşmesinin bir yenileme sözleşmesi olarak kabul edildiğine rastlanması nedeniyle çalışmada sözleşmenin devri ile yenilemenin karşılaştırılması önem arz etmektedir. Eğer bir sözleşmenin yenileme sözleşmesi mi devir sözleşmesi mi olduğu tespit edilmeye çalışılıyorsa ilk olarak tarafların iradelerine bakılmalıdır. Eğer taraflar yeni bir sözleşme kurmak üzere var olan sözleşmeyi sona erdirme niyetinde iseler burada devirden bahsedilemez. Çünkü sözleşmenin devrinin en belirgin özelliği asıl sözleşmeyi olduğu gibi devam ettirmesindedir, sözleşme sona ermez. Yenileme ile sözleşmenin devrinin bir diğer farkı ise sözleşme tarafları yönündendir. Yenileme sözleşmesi, sona erdirilmek istenen sözleşme taraflarınca akdedilirken; devir sözleşmesinde devralan da bulunmak zorundadır. Çalışmanın ikinci bölümünde ise sözleşmenin devrinin unsurları incelenmiştir. Kendisi de bir sözleşme olan devir sözleşmesi ve onun konusunu oluşturan asıl sözleşmede devri etkileyebilecek durumlar bu bölümde irdelenmiştir. İlk olarak devir sözleşmesinden bahsedilebilmesi için önce asıl sözleşmenin devredilebilir nitelikte olması gerekir. Bu hem yasal ve sözleşmesel devir engelinin bulunmaması hem de devredenin ediminin şahsa sıkı sıkıya bağlı nitelikte olmaması anlamındadır. Sözleşmenin devrinin asıl sözleşmeye ilişkin unsurlarından diğeri ise asıl sözleşmenin geçerliliğidir. Bu konuda öğreti çoğunluğu devre konu olabilecek sözleşmenin geçerli olması gerektiğini kabul etmektedir. Çalışmada ise bu görüş eleştirel bir bakış açısıyla ele alınmış ve hangi hükümsüzlük türü ve sebebinin asıl sözleşmeyi geçersiz kıldığından yola çıkılarak daha kapsamlı bir değerlendirme yapılmaya çalışılmıştır. Zira hükümsüzlüğü gerektiren bazı durumlar asıl sözleşme kadar devir sözleşmesini de geçersiz kılabilecek nitelikte iken bazı durumlarda bunun bertaraf edilmesi ve sözleşmenin devredilmesi mümkün olabilmektedir. Bu noktada tahvil kurumunun asıl sözleşme bakımından incelenmesi çalışmamızda Türk Hukuku bakımından bir yenilik getirmektedir. Sözleşmenin devri işlemi, tasarruf işlemi niteliğindeki bir devir sözleşmesi ile gerçekleşir ve tarafları ise devreden, devralan ve sözleşmede kalandır. Devir sözleşmesinin iki türde yapılabileceği kabul edilmektedir: Ya bu üç tarafın da katılımıyla ya da devreden ve devralanın akdedecekleri devir sözleşmesine sözleşmede kalanın rızasıyla. Bu iki durum TBK m. 205'te“Sözleşmenin devri, sözleşmeyi devralan ile devreden ve sözleşmede kalan taraf arasında yapılan ve …………… bir anlaşmadır. Sözleşmeyi devralan ile devreden arasında yapılan ve sözleşmede kalan diğer tarafça önceden verilen izne dayanan veya sonradan onaylanan anlaşma da, sözleşmenin devri hükümlerine tabidir.”şeklinde düzenlenmiştir. Uygulamada devir sözleşmeleri çoğunlukla, devreden ve devralan arasında akdedilen sözleşmeye sözleşmede kalanın rızasıyla kurulmaktadır. Bu nedenle sözleşmede kalanın rızasının hukuki niteliği ve eksikliğinin hukuki sonuçları bu başlık altında öne çıkan hususlardır. Zira sözleşmenin devrinin alacağın devrinden en önemli farkı devir için her üç tarafın da rızasının aranmasıdır. Oysa alacağın devrinde borçlunun, borcun iç üstlenilmesinde ise alacaklının rızasına ihtiyaç yoktur. Bu nedenle özellikle iki taraflı devir sözleşmesinde sözleşmede kalanın rızasının niteliğini belirlemek önemlidir. Zira sözleşmede kalanın, iki taraflı devir sözleşmesine müdahale edip kendi aleyhine olabilecek hususları değiştirebilme veya yeni hüküm ekleyebilme imkanı olmalıdır. Bu nedenle rızanın, devreden ve devralan arasında düzenlenmiş bir sözleşmeyi sadece onaylayıp onaylamama yetkisi olarak düşünülmemesi gerekmektedir. Öğretide, sözleşmede kalanın rızasının kurucu unsur veya tamamlayıcı unsur olduğuna yönelik iki görüş tespit edilmiştir. İki görüş arasındaki temel fark, sözleşmede kalanın rızası olmadan sözleşmenin kurulmuş sayılıp sayılmayacağı noktasında ve bunun getirdiği hukuki sonuçtadır. Kurucu unsur olduğu kabul edildiğinde, rızanın eksikliği halinde devir sözleşmesi yok hükmünde olacakken tamamlayıcı unsur olduğu kabul edildiğinde geçerli olarak kurulmuş olan devir sözleşmesi rıza verilmezse geçmişe veya ileriye etkili olarak hükümsüz olacaktır. Oysa devir sözleşmesi ile sözleşmede kalanın da asıl sözleşmede var olan bazı hak ve yetkileri üzerinde tasarrufta bulunduğu ve geniş anlamda borç ilişkisindeki karşı tarafı değiştiğinden onun iradesinin devir sözleşmesi yönünden kurucu unsur olarak kabul edilmesi gerekir. Çalışmanın üçüncü ve son bölümünde ise sözleşmenin devrinin, taraflar arasındaki ilişkilere ve asıl sözleşmeye etkisi ele alınmıştır. Devir ile asıl sözleşmenin içeriğinde bir değişiklik yaratılmasa da devir sözleşmesinde devredenin aleyhine bazı garanti sorumlulukları kararlaştırılmış olabilir. Diğer yandan devredenin devralana karşı asıl sözleşmenin hukuki durumu ve akıbeti hakkında bilgi verme yükümlülüğü, sözleşmede kalana karşı ise sır saklama yükümlülüğü gibi sözleşmesel sorumlulukları da gündeme gelebilir. Bu yükümlülük ve garanti sorumluluklarının incelenmesi uygulamada yaşanan devir sonrası uyuşmazlıklar bakımından yol gösterici olacaktır. Bu yapılırken ilgili konularda özellikle alacağın devri ve borcun üstlenilmesine ilişkin kanun hükümlerinden ve bu konularda İsviçre/ Türk ve Alman Hukuku öğreti görüşlerinden de yararlanılarak bir sonuca varılmıştır. Sözleşmenin devri asıl sözleşmenin içeriğinde herhangi bir değişiklik yaratmaz; ancak sözleşmeden doğan hak ve yetkilerin kime karşı ileri sürülebileceği ve hukuki sonuçları yönünden bazı farklılıklar gündeme getirir. Böylece asıl sözleşmede var olan alacak hakları, yenilik doğuran haklar ile defi ve itirazlar bu başlığın diğer temel inceleme konularını oluşturur. Bunların başında da sözleşmeye bağlı yenilik doğuran hakların devri ve özellikle iptal hakkının kullanımı gelir. Bu nedenle çalışmanın bu başlığında iptal hakkının niteliği özellikle şahsa bağlı bir yenilik doğuran hak olup olmadığı ve kimin iptal beyanında bulunmaya yetkili olduğu hususlarında karşılaştırmalı hukuk verilerinden de yararlanılarak konu detaylı bir şekilde ele alınmıştır

The transfer of a contract is a three-party legal transaction that creates a change in the parties to a contractual relationship by transferring the status of a party to the contractual relationship to another party. As a dispositive act, the assignment of a contract is not currently subject to legal regulation in Swiss and German law; however, under the principle of contractual freedom, it is now universally accepted that the status of a party to a contract may be assigned. In Turkish law, the institution was legally regulated by Article 205 of the Turkish Code of Obligations No. 6098, while in the previous period when the Code of Obligations No. 818 was in force, it was accepted as possible under the principle of contractual freedom. Due to this historical development and the resulting differences and similarities, many works dealing with the direct or indirect transfer of contracts have been published in German law, where the subject matter first emerged and developed, as well as in Swiss law, which serves as the primary source of reference. Although such a change of party in a debt relationship is possible in every contract, the debt relationships in which it is needed in practice and whose effects are felt more intensely are continuous debt relationships. In these contracts, where performance is spread over a period of time, one of the parties may wish to withdraw completely from the debt relationship for various reasons, such as the inability to perform or a change in the benefit expected from the contract due to other factors. The debt relationship continues with the replacement of the withdrawing party. It is important to note that no change has been made to the original contract at this point. Therefore, in relationships where the continuation of the debt relationship is necessary, such as construction or energy supply contracts, the parties ensure its continuation by transferring it to another party rather than terminating the contract, which is a more difficult path. As can be seen, the transfer of a contract not only relieves the parties from complex liquidation relationships and economic burdens but also serves to maintain the contract and thus fulfils an important need. Our study consists of three sections. The first section introduces the transfer of contracts by examining its historical process, distinguishing it from similar legal relationships, and discussing its legal nature. The second section examines the elements of the transfer of contracts through a transfer agreement, and the final section examines the legal effects of this change of parties on the original contract and the relationship between the parties. The main issues highlighted in the first section are the legal nature of the transfer of a contract and the differences between it and similar concepts. In this context, the transfer of a contract is accepted as an independent concept with the ability to dispose of the status of a party, which emerged in the 20th century and is therefore a much newer concept than the closely related concepts of the transfer of a claim and the assumption of a debt. For this reason, detailed attention has been paid to the provisions and assessments of the law regarding the transfer of claims and the assumption of debts, which can be described as sister concepts, from a comparative law perspective. The transfer of a contract is accepted as a dispositive act. However, before reaching this conclusion, it should not be forgotten that the transfer of a contract is a tripartite sui generis contract. Based on this, a different approach (defective dispositive act) that is consistent with the tripartite nature of the transfer of a contract has been put forward in this study, drawing on comparative law assessments of the legal nature of the transfer of a contract. This section also includes explanations regarding the legal cause of the transfer of a contract. Since the transfer of a contract is a three-party legal transaction and the relationship of each party with the other two parties and the benefit they expect from the transfer of the contract are different, the legal cause is determined separately for each party under this heading. As a result, it is determined which of them involves a transfer of rights and which of them confers this characteristic on the transfer of the contract, and a conclusion is reached. Accordingly, it has been concluded that the legal transaction that gives the transfer of the contract its characteristic nature is the transferor's disposal of its status as a party and the conferral of a benefit in favour of the transferee, and that the legal cause of the transfer of the contract is the cause of performance. This is because the transferor fulfils its transfer commitment by concluding the transfer contract, which is a dispositive act. For this reason, the transfer commitment, which is a debt-creating transaction, constitutes the legal cause of the transfer agreement. The second part of this section focuses on the differences between the transfer of a contract and similar institutions, and the institutions to be compared are limited to the transfer of a claim, the assumption of a debt, and renewal. The reason for this is that the transfer of a contract, as a transaction that creates a change in the parties to the debt relationship, has historically been closely linked to the assignment of a claim and the assumption of a debt, and the transfer agreement is often confused with renewal. In summary, while it was previously accepted that the provisions governing the assignment of claims and the assumption of debts, which were already recognised at the time, would suffice for the transfer of contracts when the transfer of contracts was not recognised as a separate concept, it is now accepted that the transfer of contracts constitutes a new concept with its own distinct characteristics.. The most important factor in this regard is that the assignment of a claim and the assumption of a debt relate to the debt relationship in the narrow sense, while the assignment of a contract relates to the debt relationship in the broad sense. This also necessitates that the provisions be primarily addressed from the perspective of the creditor or debtor. Therefore, it is most appropriate to apply the provisions on the assignment of a claim and the assumption of a debt by analogy to the assignment of a contract. The renewal regulated in Article 133 of the Turkish Civil Code is an agreement between the parties to terminate their existing debt or contract by creating a new debt or contract, and it has been used for a long time in Roman law as a means of changing the parties to a contract (instead of the transfer of the contract). Due to this close usage and the fact that, in practice, a transfer agreement is sometimes considered a renewal agreement, it is important to compare the transfer of a contract with its renewal in this study. If it is necessary to determine whether a contract is a renewal agreement or a transfer agreement, the parties' intentions must first be established. If the parties intend to terminate the existing contract in order to establish a new contract, then this cannot be considered a transfer. Another difference between renewal and transfer lies in the parties to the contract. A renewal contract is concluded by the parties to the contract that is to be terminated, whereas a transfer contract must include a transferee. The second part of this study examines the elements of contract transfer. The transfer contract, which is itself a contract, and the circumstances that may affect the transfer in the original contract are discussed in this section. First, for an assignment agreement to exist, the original contract must be assignable. This means that there must be no legal or contractual obstacles to assignment and that the assignor's performance must not be strictly personal. Another element of the transfer of the contract relating to the original contract is the validity of the original contract. The majority of scholars accept that the contract that is the subject of the transfer must be valid. In this study, however, this view is examined from a critical perspective, and a more comprehensive assessment is attempted based on the type and cause of invalidity that renders the original contract invalid. This is because some circumstances that require invalidity may also render the transfer contract invalid, while in other circumstances, this may be avoided and the contract may be transferred. At this point, the examination of the transfer institution in relation to the original contract constitutes a novelty in Turkish law in our study. The transfer of a contract is carried out through a transfer agreement, which is a dispositive act, and the parties are the transferor, the transferee, and the party remaining in the contract. It is accepted that a transfer agreement can be made in two ways: either with the participation of all three parties or with the consent of the party remaining in the contract to the transfer agreement to be concluded between the transferor and the transferee. These two situations are regulated in Article 205 of the Turkish Code of Obligations as follows: 'The transfer of a contract is an agreement made between the transferee, the transferor and the party remaining in the contract. ... An agreement made between the transferee and the transferor and based on the prior consent or subsequent approval of the other party remaining in the contract is also subject to the provisions on the transfer of contracts.' In practice, transfer agreements are mostly established through an agreement between the transferor and the transferee with the consent of the party remaining in the contract. Therefore, the legal nature of the consent of the party remaining in the contract and the legal consequences of its absence are the main issues under this heading. This is because the most important difference between the transfer of a contract and the transfer of a claim is that the consent of all three parties is required for the transfer. However, in the assignment of a claim, the consent of the debtor is not required, and in the internal assumption of a debt, the consent of the creditor is not required. Therefore, it is particularly important to determine the nature of the consent of the party remaining in the contract in a bilateral assignment agreement. In this regard, two views have been identified in the doctrine regarding whether the consent of the party remaining in the contract is a constitutive element or a supplementary element. The fundamental difference between these two views lies in whether the contract is deemed to have been formed without the consent of the party remaining in the contract and the legal consequences that arise from this. If it is accepted that the consent is a constitutive element, the assignment contract will be deemed null and void in the absence of consent, whereas if it is accepted that the consent is a supplementary element, the assignment contract, which has been validly formed, will be void with retroactive or prospective effect if consent is not given. However, since the transfer agreement allows the party remaining in the contract to dispose of certain rights and authorities existing in the original contract and, in a broader sense, changes the counterparty in the debt relationship, their will must also be recognised as a constitutive element of the transfer agreement. This section also includes explanations regarding the legal nature of consent. This is because the party remaining in the contract must have the ability to intervene in the bilateral transfer agreement and change provisions that may be detrimental to them or add new provisions. Therefore, consent should not be considered merely as the authority to approve or disapprove a contract established between the transferor and the transferee. The third and final section of this study examines the effect of the transfer of the contract on the relations between the parties and the original contract. Even if the transfer does not create any changes in the content of the original contract, the transfer agreement may stipulate certain guarantee obligations to the detriment of the transferor. On the other hand, contractual obligations such as the transferor's obligation to inform the transferee about the legal status and fate of the original contract and the obligation to maintain confidentiality towards the party remaining in the contract may also arise. The examination of these obligations and guarantee obligations will be instructive in terms of post-transfer disputes encountered in practice. In doing so, the relevant provisions of the law, particularly those concerning the assignment of claims and the assumption of debts, as well as the Swiss/Turkish and German legal doctrines on these matters, have been taken into account to reach a conclusion. The transfer of a contract does not create any changes to the content of the original contract; however, it raises certain differences regarding the parties against whom the rights and authorities arising from the contract may be asserted and the legal consequences thereof. Thus, the rights to receivables existing in the original contract, rights creating novation, and defences and objections form the main subjects of examination under this heading. Among these, the transfer of rights that create new rights under the contract and, in particular, the exercise of the right of cancellation are of primary importance. For this reason, this section of the study examines the nature of the right of cancellation, particularly whether it is a personal right that creates new rights, and who is authorised to make such a cancellation declaration, drawing on comparative legal data.
